5. Payments

5.1 Deposit: A non-refundable deposit of 50% (or agreed percentage) is required before work begins.

5.2 Final Payment: The remaining balance must be paid before final files, credentials, or website transfer is delivered.

5.3 Late Payments: Late payments may result in project delays, suspension of services, or additional charges.

6. Refund Policy

• Deposits are non-refundable once work has started.
• Refunds are not provided for completed services.
• Partial refunds may be considered at Rexence’s discretion if a project is canceled early.

7. Revisions

• Clients are entitled to the number of revisions stated in their proposal.
• Additional revisions may attract extra charges.
• Major changes after approval may be treated as a new project.

8. Client Responsibilities

Clients agree to:

• Provide accurate information and content on time
• Ensure they own or have permission to use submitted materials (images, logos, text)
• Respond to communication within a reasonable timeframe

Project delays caused by the client may extend delivery timelines.

9. Intellectual Property

9.1 Ownership: Full ownership of the final website/design is transferred after full payment. Rexence retains the right to showcase completed projects in portfolios, social media, and marketing materials unless agreed otherwise.

9.2 Third-Party Assets: Fonts, plugins, stock images, and other third-party resources may be subject to their own licenses.

10. Website Maintenance & Hosting

If Rexence provides hosting or maintenance:

• Clients must renew hosting before expiration.
• Rexence is not responsible for downtime caused by third-party hosting providers.
• Failure to renew may result in website suspension.

11. Limitation of Liability

Rexence shall not be liable for business losses, data loss caused by third-party providers, or indirect or consequential damages. Clients are responsible for backing up their content unless backup services are included in their plan.

12. Confidentiality

Rexence agrees to keep all client information confidential unless disclosure is required by law or the information becomes publicly available.

13. Termination

Rexence may terminate services if the client breaches these terms, payments are not made, or the client engages in abusive behavior. Upon termination, completed work up to that point may be delivered upon payment of outstanding fees.

Rexence reserves the right to update these Terms & Conditions at any time. Updated versions will be posted on the website.

15. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria.
